Terms and Conditions
The terms on which INFOSPHERE LC, a Wyoming limited liability company, of 30 N Gould St Ste R, Sheridan, WY 82801, United States supplies Sphere hosting, modules, hours and support bought on sasphere.com.
1. Who these terms are between
These terms are an agreement between INFOSPHERE LC, a Wyoming limited liability company, of 30 N Gould St Ste R, Sheridan, WY 82801, United States ("Sphere", "we", "us") and the organisation that places an order on sasphere.com ("you"). Placing and paying for an order on this site accepts them. Where you and we have signed a separate service agreement, that agreement prevails over these terms wherever the two differ.
2. What you are buying
Sphere sells an annual subscription. It has three parts, and your order may contain any of them:
- A hosted server: a machine used by you alone, in the country you choose when you order (Saudi Arabia or Germany), which we install, harden, watch, update and back up. One database is included; further databases are ordered separately.
- Module groups: sets of modules, such as Business Basics or the Clinical Suite, installed on your database and kept up to date by us. Business Basics is part of every subscription because it carries the Arabic interface every other group builds on.
- Customisation hours: packs of ten hours of development or configuration work booked against your project. A pack is bought once; it is not a subscription and it does not renew.
What you buy is a service. You do not buy the machine and you do not buy the software: you buy their use for the year you have paid for.
3. Your subscription year
A subscription runs for twelve months from the day we confirm your order and is paid in full at the start of that year. There is no monthly option and no free trial.
4. Renewal, and price changes at renewal
Your subscription renews for another twelve months unless you or we give written notice of non-renewal at least sixty (60) days before it ends. We may set a different price for a renewal year; if we do, we tell you in writing at least sixty (60) days before your renewal date, so that you can decline the renewal before the new price applies. The price of a year you have already paid never changes.
5. Payment, invoices and tax
Prices are those shown on sasphere.com when you order, in Saudi riyals, and are payable in advance. They exclude Value Added Tax and any other duty, which you pay. We issue an invoice for every payment. Payment on this site is by card through Stripe, our payment provider: your card details are handled by Stripe and never reach our servers.
6. Cancellation and refunds
You may cancel at any time, and your subscription then runs to the end of the year you have paid for and stops there; to stop it renewing, your notice must reach us at least sixty (60) days before the renewal date, as clause 4 says. We do not refund the remaining months of a year that has begun, because your server is reserved and paid for on your behalf for the whole of it. If your server has not been built yet, tell us within fourteen (14) days of your order and we refund it in full. If we cannot supply what you ordered, we refund what you paid for the part we cannot supply. A customisation pack is refundable while no hour of it has been used and within thirty (30) days of purchase; after that it is not. Refunds go back through Stripe to the card that paid.
7. Building your server
A paid order is built by a person, not by a script: we create and harden the server, install your database in Arabic first, set up your domain and its certificate, and email you when it is ready. This is usually done within one business day. The subdomain you ask for is a request until we confirm it.
8. What you may do with the service
Run your own business on it, with your own data and your own users. Take a copy of your data whenever you want one. Ask us to install any module group you have paid for, at any time in the year; it is billed from the day it is added. Ask for changes and customisations, which we quote in hours before the work starts.
9. What you may not do
- Resell the service, sublicense it, or host another organisation on your subscription, without our written agreement.
- Copy, decompile or redistribute Sphere's own modules, or third-party software supplied with them, outside the licence you have been granted.
- Use the service to break the law of the Kingdom or of the country your server stands in, to send unsolicited bulk mail, or to hold material you have no right to hold.
- Try to reach another client's server or data, or test our security, without our written permission.
- Let somebody use an administrator account who should not have it. Your accounts are your responsibility.
10. Availability and support
We aim to keep your server running at all times and we watch it around the clock. Security fixes are applied as soon as they exist. Planned maintenance that interrupts the service is announced by email at least forty-eight (48) hours beforehand where the work allows, and is done outside Saudi working hours where we can. Support is by ticket from your client portal, in Arabic or English, on Saudi business days: we aim to answer within one business day, and we start work on a server that is down as soon as we know about it.
These terms do not promise a percentage of uptime or a fixed response time. If your organisation needs a guaranteed level of service, ask us for a service agreement and we will quote it.
11. Backups
We take an encrypted backup of your database every night and keep it in a location matching the country you chose for your server. Backups are a safety net for us both and not a substitute for your own copies: you can export your data at any time, and we recommend that you do.
12. Your data
Your data and the content you put into the service are yours. We process them only to run the service and to give you the support you ask for; our staff open your database only for work you have asked for. You remain responsible for having a lawful basis for the personal data you hold there, and where your server stands in the Kingdom the Personal Data Protection Law applies to it. What we do with the personal data you give us on this site is set out in our privacy notice, linked at the foot of this page.
13. Confidentiality
Each of us keeps the other's non-public information confidential, uses it only for the service, and shares it only with people who need it and are bound by the same duty. This lasts for five (5) years after the agreement ends. It does not cover information that is public through no fault of ours, or that the law obliges us to disclose.
14. Suspension
We may suspend the service if an undisputed invoice is more than thirty (30) days overdue, after seven (7) days' written notice; or at once if your use is causing damage or is plainly unlawful, in which case we tell you immediately and restore the service as soon as the cause is gone. A suspension is not a termination: your data stays where it is.
15. Termination
Either of us may end the agreement by giving notice of non-renewal as clause 4 describes. Either of us may end it at once if the other is in material breach and has not put it right within thirty (30) days of being told, or becomes insolvent. When the agreement ends you pay for the service up to that date; on your written request made within thirty (30) days we give you a complete export of your data in a commonly used format; after that we delete your server and its backups, and once they are deleted the data cannot be recovered.
16. Third-party licences
Odoo Enterprise, and any other third-party software you need, is licensed to you by its own vendor and is not included in our fees unless your order says so. Those vendors' own terms govern that software and we give no warranty for it.
17. The licence for the Sphere software
Your subscription gives you the right to use our modules as part of the hosted service, for as long as the subscription runs. It is not a sale. You do not receive the source code, and you may not copy, modify, translate, decompile, sublicense, rent or resell them, nor let anyone outside your organisation use them. We keep every other right in them. When the subscription ends this right ends with it; your own data remains yours and clause 12 says how to take it away.
18. What we promise, and what we do not
We perform the service with reasonable skill and care and to a professional standard. If part of it does not meet that standard, tell us in writing within thirty (30) days and we will do that work again or refund what you paid for it; that is your remedy for defective performance. We give no other warranty, and nothing here promises that the service fits a purpose you have not told us about.
19. Liability
Neither of us excludes liability that the law does not allow to be excluded. Subject to that, neither of us is liable to the other for loss of profit, revenue, goodwill or expected savings, or for indirect or consequential loss; and our total liability under these terms is limited to the fees you actually paid in the twelve (12) months before the event that gave rise to the claim.
20. General
Neither of us is liable for a delay caused by something outside its reasonable control. We may use subcontractors, and our hosting providers are subcontractors; we stay responsible for their part of the service. Neither of us may transfer this agreement without the other's written consent, which will not be unreasonably refused. Notices are in writing, in Arabic or English, by email to the addresses on the order, and take effect on the next business day; a ticket in the client portal counts as writing. These terms and your order are the whole agreement between us about the service, and if one provision is held invalid the rest stays in force.
21. Changes to these terms
We may change these terms for a renewal year and will tell you in writing at least sixty (60) days before your renewal date. A change never applies to a year you have already paid for, unless the law obliges it.
22. Governing law and disputes
These terms, and any dispute arising out of them, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The state and federal courts sitting in Wyoming have exclusive jurisdiction, and both parties submit to them. Nothing here removes a right you hold under the law of the country you live in that cannot be waived by agreement.
23. Language
These terms are published in Arabic and in English. If the two differ, the Arabic text prevails.
